Terms of Service

Welcome to Barta. These Terms of Service ("Terms") are a legally binding agreement between you and Barta, LLC ("Barta," "we," "us," or "our"). They govern your access to and use of the Barta marketplace platform at barta.shop and its subdomains, including all related services, features, content, and applications (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that:

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.


2. Accounts

2.1 Account Creation

To access most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

2.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must immediately notify us at support@barta.shop if you suspect any unauthorized use of your account.

2.3 One Account Per Person

Each individual may maintain only one personal account. Creating multiple accounts to circumvent enforcement actions, manipulate the marketplace, or deceive other users is prohibited and grounds for immediate termination of all associated accounts.


3. The Marketplace

3.1 Platform Role

Barta is a marketplace platform that connects buyers and sellers. We provide the technology and infrastructure for users to list, discover, and purchase goods and services. Barta is not a party to any transaction between buyers and sellers. We are not the seller or manufacturer of any items listed on the platform.

3.2 No Endorsement

The listing of any item on the Service does not constitute an endorsement, certification, or guarantee by Barta of the item's quality, safety, legality, or accuracy of the listing description. Buyers should exercise their own judgment and due diligence before making a purchase.

3.3 Availability

We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.


4. Seller Terms

4.1 Becoming a Seller

To sell on Barta, you must complete the seller onboarding process, which includes creating a shop, connecting a Stripe account for payment processing, and agreeing to any additional seller-specific agreements we may present during onboarding.

As a seller, you represent, warrant, and agree that:

Sellers are responsible for establishing and clearly communicating their own return and refund policies in their shop profile or listing descriptions. Return policies must comply with applicable consumer protection laws. Barta may mediate disputes between buyers and sellers as described in Section 11.

4.4 Shop Content

You retain ownership of the content you upload to your shop (photos, descriptions, logos). By uploading content to the Service, you grant Barta a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content as necessary to operate and promote the Service and your listings. This license ends when you delete the content or your account, except where the content has been shared with other users or is required for legal compliance.


5. Buyer Terms

5.1 Purchasing

When you purchase an item through the Service, you are entering into a transaction directly with the seller. You agree to pay the listed price plus any applicable shipping, taxes, or fees.

5.3 Seller Responsibility for Listings

Items sold on Barta are listed and fulfilled by independent sellers. Sellers are responsible for the accuracy of their listings, item condition, and fulfillment of orders.

Barta does not manufacture, store, or inspect items prior to shipment.

While Barta is not the seller of record for marketplace listings, we work to maintain a safe marketplace and may investigate reports of fraud, misrepresentation, or abuse of the platform.

Any product warranties or guarantees are provided by the seller unless otherwise stated.


6. Fees and Payments

6.1 Seller Fees

Barta charges sellers a transaction fee on completed sales. Current fee rates are displayed in the Seller Dashboard and may vary based on your subscription plan. We reserve the right to modify our fee structure at any time with at least 30 days' advance notice to active sellers. Promotional pricing or fee waivers may apply during launch or special promotion periods and may be modified or discontinued at Barta's discretion.

6.2 Payment Processing

All payments are processed through Stripe. By using the Service as a buyer or seller, you agree to Stripe's Connected Account Agreement and Terms of Service as applicable. Barta is not responsible for errors, outages, or disputes arising from Stripe's payment processing services.

6.3 Seller Payouts

Seller payouts are processed through Stripe Connect according to Stripe's standard payout schedule. Barta does not hold buyer funds. Payments flow through Stripe's infrastructure. Payout timing and availability are subject to Stripe's policies and any applicable holds or reserves.

6.4 Taxes

Sellers are responsible for determining, collecting, and remitting any applicable taxes on their sales. Barta does not provide tax advice. We recommend consulting a qualified tax professional regarding your obligations.

6.5 Refunds

Refunds for purchases are handled according to the seller's return policy. If a dispute arises and Barta mediates (see Section 11), Barta may direct a seller to issue a refund. Refunds are processed through Stripe and may take 5-10 business days to appear in the buyer's account.


7. Prohibited Items and Conduct

8.1 Your Content

You retain ownership of all content you submit to the Service, including listing photos, descriptions, shop profiles, and messages ("User Content"). By submitting User Content, you grant Barta a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, and distribute your User Content solely for the purpose of operating, developing, and promoting the Service.

You are solely responsible for your User Content. You represent and warrant that:

Barta reserves the right to remove or disable access to any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, objectionable, or otherwise inappropriate. We are not obligated to monitor all User Content but may do so at our discretion.


9. Intellectual Property

9.1 Barta's Intellectual Property

The Service, including its design, features, functionality, logos, trademarks, and all underlying technology, is owned by Barta, LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our prior written consent.

9.2 Copyright Infringement (DMCA)

We respect the intellectual property rights of others. If you believe that content on the Service infringes your copyright, please send a notice to our designated agent with the following information:

9.3 Counter-Notification

If you believe your content was removed in error, you may file a counter-notification with the information required under the DMCA. We will process counter-notifications in accordance with applicable law.


10. Messaging

The Service includes a messaging system that allows buyers and sellers to communicate. When using messaging, you agree to:

Barta reserves the right to monitor, review, and store messages for the purposes of safety, fraud prevention, dispute resolution, and enforcement of these Terms. Users may report and block other users who violate these messaging standards.


11. Disputes Between Users

11.1 Direct Resolution

If a dispute arises between a buyer and a seller, the parties should first attempt to resolve the issue directly through the platform's communication tools or by contacting the other party via their shop contact information.

If the issue is not resolved within 3 days, either party may escalate the dispute to Barta by emailing support@barta.shop with the order details and a description of the issue.

11.2 Barta Mediation

If direct resolution is unsuccessful, either party may request that Barta mediate the dispute. Barta may, at its sole discretion:

Barta's mediation is provided as a courtesy and convenience. We are not required to mediate any dispute and are not responsible for the outcome of any transaction. Our mediation decisions are made in good faith but are not legally binding as arbitration awards. Either party retains the right to pursue legal remedies independently.


12. Termination and Suspension

12.1 Termination by You

You may close your account at any time by contacting us at support@barta.shop. Upon closure, your profile and listings will be removed from the Service. You remain responsible for any outstanding transactions or obligations incurred before account closure.

12.2 Termination or Suspension by Barta

We may suspend or terminate your account, remove your content, or restrict your access to the Service at any time, with or without notice, if we reasonably believe that:

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including but not limited to: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.


13. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by applicable law, Barta disclaims all warranties, including but not limited to:

Barta does not endorse, warrant, or guarantee any item, seller, or transaction on the platform. Your use of the Service and any transactions you enter into are at your sole risk.


14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BARTA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

IN NO EVENT SHALL BARTA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO BARTA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless Barta, LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:


16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms and any disputes arising from or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of laws principles.

16.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to the personal jurisdiction of such courts.

16.3 Class Action Waiver

YOU AND BARTA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Barta agree otherwise in writing, no court may consolidate or join more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

16.4 Time Limitation

Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after the claim arose, or be permanently barred.


17. Modifications to These Terms

We may revise these Terms from time to time. When we make material changes, we will:

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and close your account.


18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with Barta (including seller-specific agreements), constitute the entire agreement between you and Barta regarding the Service.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver of any term shall only be effective if in writing and signed by Barta.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Barta may assign its rights and obligations under these Terms without restriction.

18.5 Force Majeure

Barta shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government actions, power failures, internet disruptions, or third-party service provider outages.

18.6 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Barta. Sellers are independent third parties, not employees or agents of Barta.
